Financing for municipal utilities and heat networks

We put the transformation of grids and generation into a structure the market will fund and the committees can approve.

Context

The investment programme is larger than the balance sheet and the shareholder can carry.

Municipal heat planning, generation transformation and grid expansion fall into the same decade. We structure these programmes so they are financeable and take them to market without replacing existing bank relationships: the Sparkasse or Landesbank stays in the group, but within a process where it can be measured. Alongside them sit promotional banks, insurers and infrastructure debt funds that underwrite municipal risk.

Common questions

Questions on financing municipal utilities

Does the municipal group tax structure survive if we carve the heat project out?
That depends on where in your group the municipal group tax structure sits and how the project company is connected to it. A separate project company makes the scheme underwritable for project finance lenders, but it can cost the loss offset within the municipal group tax structure. We run both routes against each other, that is the scheme inside the utility with full recourse and the carved-out structure with its tax price. The tax opinion itself comes from your tax adviser; we make sure it is on the table before the structure is fixed.
How do you finance a heat network whose connection rate only grows over the years?
Through a structure that tracks the ramp-up in connection rates. That includes grace periods on amortisation, drawdowns tied to milestones and debt service sized on the connections already secured. BEW funding is part of the capital structure and is built in from the outset.
How does this fit the committee process?
The process follows the meeting calendar of your boards. We prepare a decision-ready proposal with options and assessment criteria and set the timetable so that resolutions are passed in time. That typically means nine to twelve months of lead time. The papers are built so that the supervisory board can follow them without further explanation.

When the investment programme goes to the board.

Structure, volume and timeline belong side by side early, because committee cycles set the pace. A conversation pays off while the board paper is still being drafted. Confidential, and together with your finance team if you prefer.
